Media License Agreement (Preview Media)

This Preview Media License Agreement ("Agreement") is made between Ceon Media ("Licensor") and the purchasing customer ("Licensee"). By accessing and using the preview digital video content ("Preview Content"), Licensee agrees to the following terms:

1. GRANT OF RIGHTS

Licensor grants Licensee a limited, non-exclusive, non-transferable, revocable license to use the Preview Content solely for evaluation and non-commercial purposes. The Preview Content is watermarked and low-resolution, intended to allow Licensee to test their content before purchasing full-quality media.

2. PERMITTED USES

Licensee may use the Preview Content in the following ways:

  • As placeholders in video edits or graphic designs, which may be shared privately with customers, employees, team members, or clients.
  • On public platforms in non-commercial contexts, such as showcasing work-in-progress (WIP) projects or draft edits.
  • On public platforms that generate indirect revenue (e.g., via advertisements or affiliate marketing), provided that the Preview Content can be freely accessible to users.

3. PROHIBITED USES

Licensee is strictly prohibited from:

  • Using Preview Content for any direct commercial purposes.
  • Modifying, removing, or obscuring watermarks present in the Preview Content.
  • Redistributing, sublicensing, or selling the Preview Content in any form.

4. OWNERSHIP

All intellectual property rights in the Preview Content remain with Licensor. Licensee is granted a temporary right to use the Preview Content under this Agreement but does not gain ownership.

5. DISCLAIMER OF WARRANTIES

The Preview Content is provided "as is" without warranties of any kind, express or implied. Licensor makes no guarantees regarding the suitability, accuracy, or fitness of the Preview Content for any purpose.

6. LIMITATION OF LIABILITY

Licensor shall not be liable for any claims, damages, or losses arising from Licensee’s use of the Preview Content. Licensee assumes full responsibility for any consequences resulting from the use of the Preview Content.

7. TERMINATION

Licensor reserves the right to revoke this license at any time if Licensee breaches any terms of this Agreement. Upon termination, Licensee must cease all use of the Preview Content.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

By accessing and using the Preview Content, Licensee acknowledges that they have read, understood, and agreed to the terms of this Agreement.
